Terms and Conditions for Zynx Affiliate Network

1. Acceptance of Terms
By accessing or using the Zynx Affiliate Network website (“Site”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree with any part of these Terms, please do not use the Site or participate in our affiliate program.

2. Eligibility

  • You must be at least 18 years old to participate in the affiliate program.

  • You agree to provide accurate, current, and complete information during registration and to update it as necessary.

  • We reserve the right to reject applications or terminate your account if you do not meet eligibility criteria or if false information is provided.

3. Affiliate Account Registration

  • To join the Zynx Affiliate Network, you must register for an affiliate account by providing required details (e.g., name, email, payment information).

  • You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account.

  • You must promptly notify Zynx of any unauthorized use of your account or any security breach.

4. Affiliate Obligations

  • Affiliates agree to promote Zynx partner offers in a lawful, ethical, and professional manner.

  • You may not use deceptive or misleading advertising, spam, paid search bidding on Zynx-related keywords, or other prohibited practices (e.g., pop-under redirects, “cookie stuffing,” trademark misuse).

  • Affiliates must comply with all applicable laws, regulations, and industry standards (e.g., FTC guidelines for endorsements).

5. Tracking, Reporting, and Commission

  • Zynx will provide tracking links and reporting tools to monitor referred clicks, leads, or sales (as applicable).

  • Commission rates, payment terms, and cookie durations are specified in your affiliate dashboard. Changes to commission structures will be communicated at least 30 days in advance.

  • Commissions are earned only on valid, approved transactions that conform to the partner’s terms (e.g., sales not returned, leads verified as unique).

  • Zynx reserves the right to withhold commissions for fraudulent or invalid activity, as determined in our sole discretion.

6. Payment Terms

  • Affiliates will receive payments monthly, provided the minimum payout threshold is met. If the threshold is not reached, earnings roll over to the next month.

  • Payments are made via the method you specify (e.g., PayPal, bank transfer). Any fees or currency‐conversion charges incurred are your responsibility.

  • Zynx is not responsible for payment delays caused by incorrect or outdated payment information.

7. Intellectual Property

  • All trademarks, logos, text, graphics, and other content on the Site (“Content”) are the property of Zynx or its partners and are protected by copyright, trademark, and other intellectual property laws.

  • Affiliates may use only the approved banners, links, and promotional materials provided in the affiliate dashboard.

  • You may not modify, reproduce, or create derivative works of any Zynx intellectual property without prior written consent.

8. Confidentiality

  • Affiliates may have access to proprietary information (e.g., commission structures, marketing methods). You agree to keep such information confidential and not disclose it to any third party.

  • This confidentiality obligation survives termination of your affiliate account.

9. Representations and Warranties

  • You represent and warrant that:

    1. You have the right and authority to enter into these Terms.

    2. Your promotional methods comply with all applicable laws and regulations.

    3. You will not engage in any activity that could harm Zynx’s reputation or goodwill.

  • Zynx makes no warranties regarding the performance or profitability of its affiliate program.

10. Disclaimers and Limitation of Liability

  • Zynx provides the affiliate program “as is” and disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose.

  • Zynx is not liable for any indirect, incidental, consequential, or punitive damages arising from or relating to these Terms or your participation in the affiliate program.

  • In no event shall Zynx’s total liability exceed the total commissions paid to you in the 12 months preceding the claim.

11. Termination

  • You may terminate your participation in the affiliate program at any time by notifying us.

  • Zynx may suspend or terminate your account (and withhold unpaid commissions) immediately if you breach any provision of these Terms or engage in fraudulent or prohibited activities.

  • Upon termination, all rights granted to you under these Terms cease, and you must immediately remove all Zynx promotional materials from your channels.

12. Modifications to Terms

  • Zynx reserves the right to update or modify these Terms at any time. Revised Terms will be posted on the Site with an updated “Last Updated” date.

  • Continued use of the Site or participation in the affiliate program after such changes constitutes your acceptance of the modified Terms.

13. Governing Law and Dispute Resolution

  • These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict-of-law principles.

  • Any dispute arising under or related to these Terms shall be resolved exclusively in the courts of England and Wales, and you consent to personal jurisdiction there.

14. Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15. Entire Agreement
These Terms, together with the Privacy Policy and any other agreements or materials expressly incorporated by reference, constitute the entire agreement between you and Zynx regarding the affiliate program.
